PubliGroupe's AGM approves all Board proposals
Hans-Peter Rohner appointed Chairman of the Board of Directors
The Annual General Meeting of PubliGroupe, held on 29 April 2009, approved all of the Board of Directors' proposals by a clear majority.
In particular, the General Meeting approved the distribution of a dividend of CHF 3.50 gross per share as of 7 May 2009. The net amount of CHF 2.275 will be paid in the form of treasury shares of the company, while the withholding tax of 35% will be settled in cash. The shares distributed by way of a dividend are valued at CHF 68.94, which corresponds to the average closing price for the five stock market trading days immediately prior to the General Meeting. One share therefore entitles the holder to a distribution of 0.033 share. Fractions will be paid out in cash.
The General Meeting took its leave of Mr Philippe Pidoux, Chairman of the Board since 1995, who had come to the end of his term of office and did not wish to be re-elected. Mr Hans-Peter Rohner, Group CEO, was elected as a new member of the Board of Directors, while Peter Brunner and Jean-Pierre Jeannet were re-elected to serve as directors for a further term of office.
The Board of Directors was constituted immediately after the General Meeting. In keeping with the intention it announced some months ago, the Board appointed Hans-Peter Rohner as Chairman of the Board of Directors. Pascal Böni was designated as Lead Director, in which function he will ensure compliance with the principles of good corporate governance while Mr Rohner performs his dual role. Mr Jean-Pierre Jeannet was confirmed as Vice-Chairman, and the Board's committees were constituted as follows:
- Audit Committee: Christian Budry, Chairman, and Jean-Pierre Jeannet, member.
- Nominations and Remuneration Committee: Peter Brunner, Chairman, and Eliane Borter, member.
- Strategy Control Committee: Pascal Böni, Chairman, Michaela Stöckli and Jean-Pierre Jeannet, members.
